Last Updated: September 12, 2026
These Terms & Conditions ('Terms') govern your access to and use of the Fluxxbyte website and any digital marketing, automation, web development, or related services provided by Fluxxbyte. By engaging our services or using this website, you agree to be bound by these Terms.
1. About Fluxxbyte
Fluxxbyte (“Fluxxbyte”, “we”, “us”, or “our”) is a digital marketing agency based in Agra, India, offering performance marketing, SEO and organic growth, social media management, website design and development, marketing automation, conversion rate optimization, WhatsApp automation, AI calling solutions, and video editing and creative services (collectively, the “Services”).
References to “you” or the “Client” mean the individual or business entity that engages Fluxxbyte for any Service, whether through a signed proposal, invoice, order form, or online booking.
2. Acceptance of Terms
By accessing this website, submitting an enquiry, booking a consultation, making a payment, or signing a proposal or statement of work with Fluxxbyte, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Refund & Cancellation Policy, and Shipping & Delivery Policy. If you do not agree with any part of these Terms, please do not use our website or Services.
3. Eligibility
Our Services are intended for businesses and individuals who are at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872. By using our Services, you represent that you meet this requirement and that any information you provide to us is accurate and complete.
4. Scope of Services & Engagement
The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate proposal, statement of work, invoice, or order confirmation (the “Order”). In the event of any conflict between an Order and these Terms, the Order shall prevail for that specific engagement.
Depending on the Service engaged, this may include, without limitation:
- Planning, creating, and managing paid advertising campaigns across platforms such as Meta, Google, and TikTok.
- Search engine optimization, content strategy, and technical website audits.
- Social media content planning, publishing, and community management.
- Design and development of websites, landing pages, and web applications.
- Building and maintaining marketing automation, WhatsApp automation, and AI calling workflows.
- Conversion rate optimization, analytics, and reporting.
- Video editing and creative asset production.
We reserve the right to use third-party tools, contractors, and subcontractors to deliver the Services, provided we remain responsible for the quality of the final deliverable.
5. Client Responsibilities
To enable us to deliver the Services on schedule, you agree to provide timely access to relevant accounts (advertising, analytics, website, domain, hosting, CRM, or social media), brand assets, content, approvals, and feedback. Delays caused by a failure to provide access, content, or approvals within a reasonable time may extend project timelines without any liability to Fluxxbyte.
You are responsible for ensuring that any content, assets, trademarks, or instructions you provide to us do not infringe on the rights of any third party or violate applicable law.
6. Fees, Payments & Advertising Spend
Fees for our Services are set out in the applicable Order and are payable in the currency, instalments, and timeframes specified there. Payments may be processed through Razorpay or other payment processors we designate. Invoices not paid by their due date may result in a pause or suspension of Services.
Where a campaign involves third-party advertising spend (for example, on Meta, Google, or TikTok), such spend is billed separately from our service fees and is paid either directly to the platform by you or passed through by us on your behalf. Advertising spend that has already been allocated to a live or scheduled campaign is non-refundable, as set out in our Refund & Cancellation Policy.
7. Intellectual Property
Upon full and final payment for a specific deliverable, ownership of that final deliverable (for example, a completed website, ad creative, or automation workflow built specifically for you) transfers to you, except for any pre-existing Fluxxbyte tools, templates, frameworks, code libraries, or methodologies used to create it, which remain our property and are licensed to you for use in connection with that deliverable.
Any third-party licensed assets (stock photography, fonts, plugins, or software) remain subject to the license terms of their respective owners. Fluxxbyte retains the right to showcase completed work in its portfolio, case studies, and marketing materials unless otherwise agreed in writing.
8. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information solely for the purpose of fulfilling its obligations under these Terms.
9. No Guarantee of Results
Digital marketing, SEO, and advertising outcomes depend on factors outside our control, including market conditions, competition, algorithm changes, platform policies, and your own business operations. While we apply industry best practices and data-driven strategy to every engagement, Fluxxbyte does not guarantee specific rankings, traffic, leads, sales, return on ad spend, or any other business outcome.
10. Third-Party Platforms
Our Services may involve the use of third-party platforms and tools, including but not limited to Meta, Google, TikTok, WhatsApp Business API, Cal.com, and various analytics and automation tools. Your use of these platforms is subject to their own terms of service and policies. Fluxxbyte is not responsible for outages, policy changes, account suspensions, or feature changes made by these third-party providers.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Fluxxbyte’s total liability arising out of or relating to these Terms or any Service shall not exceed the total fees paid by you to Fluxxbyte for the specific Service giving rise to the claim in the three (3) months preceding the claim. Fluxxbyte shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunity.
12. Indemnification
You agree to indemnify and hold Fluxxbyte harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or content and instructions you provide to us that infringe on the rights of a third party.
13. Term, Suspension & Termination
These Terms remain in effect for as long as you use our website or Services. Either party may terminate an ongoing engagement by providing thirty (30) days’ written notice, as detailed in our Refund & Cancellation Policy. Fluxxbyte reserves the right to suspend or terminate Services immediately in the event of non-payment, misuse of our Services, or a material breach of these Terms.
14. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Agra, Uttar Pradesh, India.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, or applicable law.
